ARTICLE I
NAME, PURPOSE, AFFILIATION

SECTION 1. Name. This organization shall be known as the Fire Prevention Officers Division- Idaho Fire Chief's Association.

SECTION 2. Purpose. The purpose of this Division is to further the professional advancement of the fire service through education, training, legislation, and other means as may be available to ensure and maintain greater protection of life and property from fire, natural and man made disaster, or other sudden emergencies. To carry out this purpose, the Division shall:

  1. Advise the Idaho Fire Chief's Association in matters pertaining to fire prevention.
  2. Promote fire safety information throughout the State of Idaho through public education programs, conferences and training seminars.
  3. Participate in the code development process.

SECTION 3. Affiliation. This association shall be a division of the Idaho Fire Chief's Association, and shall be bound by the Constitution and Bylaws of the Idaho Fire Chief's Association for as long as it elects to remain a division thereof.

ARTICLE II
MEMBERSHIP

SECTION 1. Active Membership. Active membership in the Division shall be limited to those persons whose chief meets the qualifications for active membership in the Idaho Fire Chiefs Association. Active members shall be voting members.

SECTION 2- Associate Membership. Associate members shall include interested persons who are not eligible for active membership. Associate members shall be non-voting.

SECTION 3. Retired Membership. Retired members shall be those who were active members of this Division upon retirement. Retired members shall not be eligible to hold elective office and shall be non-voting members unless otherwise qualified.

SECTION 4. Honorary Membership. Honorary members shall include any person who has performed an outstanding service to further the Division's goals and is elected to an honorary life membership by a two-thirds majority vote of voting members present at any regularly scheduled meeting. Honorary members shall be non-voting members.

SECTION 5. Officers Eligibility. The President must be an active member of the Idaho Fire Chief's Association. The offices of the Vice-President and Secretary/Treasurers may be filled by any elected member of the Division.

ARTICLE III
VOTING

SECTION 1. Voting. Those entitled to vote shall be active members in attendance at the general business meeting.

ARTICLE IV
BOARD OF DIRECTORS

SECTION 1. Executive Board. The Executive Board shall consist of the office of President, Vice-President, and the Secretary/Treasurer.

SECTION 2. Board of Directors (The Board). The Board of Directors shall consist of the Executive Board and one representative from each of the six (6) Districts.

SECTION 3. Board Members. District Representatives shall be elected for a two (2) year term.

SECTION 4. Official Duties. All Board members terms shall begin on the first day following the Annual Conference.

SECTION 5. Attendance. A Board member that fails to attend two (2) successive meetings during the year may be terminated.

SECTION 6. Termination. See Article XIII for Board Member termination.

ARTICLE V
NOMINATIONS AND ELECTIONS

SECTION 1. Election. The election of Board members and officers shall be at the annual conference.

SECTION 2. Nomination Committee. The President shall appoint a three-member Nomination/Election Committee consisting of active members of the Division. The Committee shall conduct elections during the annual conference general business session.

SECTION 3. Balloting. Voting shall be by ballot.

SECTION 4. Nominations. Nominations shall be submitted to the Nomination/Election Committee prior to the Annual Conference. The committee shall obtain written from the nominated member's chief or employer.

SECTION 5. Candidate Certification. During the business meeting at the Annual Conference, The committee will certify the candidates.

SECTION 6. Floor Nominations. Nominations may be made from the floor during the general business meeting. (See Qualifications Article V Sec.5).

SECTION 7. District Representatives. District representatives from Districts 1, 3, and 5 shall be elected during the odd-numbered years. Board members from Districts 2, 4, and 6 shall be elected during even-numbered years.

SECTION 8. Election of Officers. The President and Vice-President shall be elected at the annual meeting. The President-Elect shall appoint the Secretary/Treasurer (see Article VI).

SECTION 9. Election Report. Election results shall be posted before the close of the Annual Conference.

ARTICLE VI
OFFICERS

SECTION 1. Officers. The officers of this organization shall be one (1) President, one (1) Vice-President, and one (1) Secretary/Treasurer and shall be known as the Executive Board.

SECTION 2. Selection. The President and Vice-President shall elected by a simple majority. The Secretary/Treasurer shall be appointed by the President elect.

ARTICLE VII
DUTIES OF OFFICERS

SECTION 1. President. The President shall preside over the Division meetings and shall report to the Idaho Fire Chief's Association Conference. The President shall serve as the Division representative to the Idaho Fire Chief's Association.

SECTION 2. Vice-President. The Vice-President shall perform the duties of the President in his/her absence and shall assist the President as required.

SECTION 3. Secretary/Treasurer. The Secretary/Treasurer shall provide clerical support to the Executive Board including such functions as record management, taking minutes, preparing a financial report, and other duties as required.

SECTION 4. Addendum. Attached job descriptions are adopted as part of this protocol.

ARTICLE VIII
FILLING A VACANCY

SECTION 1. Should the office of the President become vacant, the Vice-President shall assume all duties of the position of President until a new President is elected at the next scheduled business meeting of the Division.

SECTION 2. Other vacancies occurring on the Board shall be selected from the Body and appointed by the President to serve the remainder of the term.

ARTICLE IX
MEETINGS

SECTION 1. Meetings may be set by the President or by petition of at least four (4) members of the Board.

SECTION 2. The President or his/her designee shall be the official representative of the Division at non-Division meetings.

SECTION 3. General business meetings shall be held at a time designated by the Board of Directors.

ARTICLE X
DUES

The annual dues shall be in an amount determined by the Idaho Fire Chief's Association and shall be payable to the Idaho Fire Chief's Association.

ARTICLE XI
PROCEDURE AND PRACTICE

SECTION 1. Idaho Fire Chief's Association Secretary-Treasurer. It shall be the duty of the Idaho Fire Chief's Association Secretary-Treasurer to receive all monies due that Association, sign and disperse all checks of the Association, keep a complete account of same, and make a full and complete report at each meeting of the Association and/or the Idaho Fire Chief's Association Board of Directors.

SECTION 2. Budget and Finance.

A. The Division shall prepare an annual budget. Budget guidelines will be determined by the Idaho Fire Chief's Association. The President shall submit the budget the Idaho Fire Chief's Association at their Annual Conference.

B. Requests for unbudgeted expenditures shall be approved by the Idaho Fire Chief's Association.

C. All Division sponsored programs are expected to be self-supporting and shall be reviewed by the audit committee of the Idaho Fire Chief's Association. An accounting of all expenses, accounts receivable and fund balances, along with all documentation, shall be forwarded to the Association's Audit Committee within forty-five (45) days of the close of the activity. All surplus funds from such programs shall be submitted to the Secretary of the Idaho Fire Chief's Association within thirty (30) days of completion of the audit. Receipts for all disbursements of program funds shall be kept of all transactions. All checks must be signed by two (2) officers of the Division. Payment of expenditures for division sponsored programs shall be guaranteed by the Idaho Fire Chief's Association, provided such programs and budgets have had prior approval of the Association Board of Directors.

SECTION 3. The Division shall file operating protocols and amendments to the Idaho Fire Chief's Association for review and approval.

ARTICLE XII
AMENDMENTS

This Division shall have the power to amend and revise any portion of this protocol, except those portions governed under the Idaho Fire Chief's Association Bylaws. Thirty (30) days prior to the annual conference notice of proposed changes shall be published. Approval of the changes shall require two-thirds vote of approval of the qualified active members present.

ARTICLE XIII
TERMINATION OF MEMBERSHIP

SECTION 1. The Board may terminate the membership of any Board member or Division member for acts detrimental to the Association by an affirmative vote of two-thirds of the membership of the Board, provided that such member shall first be afforded a hearing by the Board.

ARTICLE XIV
COMMITTEES

SECTION 1. Committees, whether standing or ad hoc, shall be designated by the Board of Directors and the President shall appoint the members of any and all committees as may be required; any vacancy on a committee shall likewise be filled by the President.

SECTION 2. President of the Code Advisory Committee is subject to ratification by the Board of Directors and the Idaho Fire Chief's Association Board of Directors.

ARTICLE XV
CONDUCT OF BUSINESS

Roberts' Rules of Order shall govern this Division in the conduct of its business, unless otherwise specifically stated in these guidelines.

ARTICLE XVI
NEWSLETTER

The official bulletin of this Division shall be the Idaho Fire Chief's Association Newsletter. Activities of the Division shall be published in the newsletter. The President shall appoint a Board member to coordinate information provided by all members. This information will be forwarded to the Idaho Fire Chief's Association Secretary-Treasurer.
